U.S. Satellite Operators Face Funding Pressure Amidst Hundreds of Billions in Spectrum Deals

AST SpaceMobile, Inc. (NASDAQ: ASTS) cautioned in a recent filing that building its next-generation Block 2 satellite constellation will require substantial future capital, and that failure to secure additional funding could seriously jeopardize its business—potentially even triggering launch-contract cancellations.

The company identified its roughly $550 million spectrum transaction with Ligado Networks—and the UBS and SoundPoint credit facilities that support it—as a primary risk, noting those arrangements could collapse depending on regulatory approvals and the outcomes of related litigation.

AST SpaceMobile also disclosed additional key risk factors, including its ongoing dispute with Inmarsat, restrictions on index inclusion stemming from its multi-class voting structure, intensifying competition from rivals such as SpaceX’s Starlink, and an increasing dependency on global regulatory authorizations.

Recently, the company announced an agreement to acquire global S-band satellite spectrum priority rights managed by the International Telecommunication Union, investing approximately $64.5 million to secure additional capacity. It has further outlined plans to raise several billion dollars in stages—through a large convertible senior note offering and new loan facilities—to fund upcoming satellite launches and network deployment.

Headquartered in Texas, AST SpaceMobile is developing a space-based cellular broadband network using low-Earth-orbit satellites to provide direct connectivity to standard smartphones. By partnering with global mobile carriers, the company aims to fill terrestrial coverage gaps. Observers note that the direct-to-device satellite communications market combines significant growth potential with high financial and operational risks, given strong competitors, substantial upfront infrastructure costs, and a complex international frequency and regulatory landscape.
