Massive RSU Compensation: U.S. Regulations Focus on Ondas Executives

By ATTN Desk · Editorial oversight: Sean Han

In the same way that FDA approvals and regulatory news drive stock prices in the pharmaceutical and healthcare sectors, disclosures by U.S. regulators have emerged as a key variable for technology and defense companies. According to a U.S. Securities and Exchange Commission filing, Ondas Inc. (NASDAQ: ONDS) reported on Form 4, filed February 13, that Chairman and CEO Eric Brock was granted 13.5 million restricted stock units (RSUs) on February 11. The RSUs vest in six tranches, beginning with 4.5 million shares on June 1 and concluding on March 10, 2029, contingent upon Brock’s continued service in an executive capacity. Following this grant, Brock directly holds a total of 13.5 million shares and RSUs, confirming through the filing that these awards are long-term incentive compensation rather than open-market purchases. Defense Technology

Ondas is a U.S. technology company organized around its two business units—Ondas Autonomous Systems and Ondas Networks—providing autonomous flight drones, unmanned ground vehicles, and private wireless communication solutions. Its primary customers span defense and border security, critical infrastructure protection, rail, energy, and other mission-critical industries. The company trades on NASDAQ under the ticker ONDS. Since late 2025, Ondas has bolstered its position in the global defense and security market through sizable capital raises and strategic acquisitions. It recently rebranded from Ondas Holdings to Ondas Inc. and is in the process of relocating its headquarters to West Palm Beach, Florida, in the first quarter of 2026. ([investing.com])

Beyond governance developments, Ondas has delivered significant business and financial milestones. On January 12, it closed approximately $1 billion in a registered direct offering of common stock and pre-funded warrants, capping a streak of equity and warrant issuances that began in the second half of 2025. In the third quarter of 2025, the company reported revenue of $10.1 million, a more than sixfold increase year-over-year, and expanded its portfolio into autonomous drone reconnaissance, counter-drone solutions, and ground robotics through the acquisitions of Centricity, Apeiro Motion, and 4M Defense. Riding this growth and backed by a robust order backlog, Ondas raised its 2026 revenue guidance from $140 million to a range of $170 million–$180 million, underscoring its confidence in sustained high-growth momentum.
