'Datadog' CTO Sells Shares Worth Billions… Directors Follow with On-Market Disposals

Datadog, Inc. (Nasdaq: DDOG), a U.S.-based cloud observability platform provider, disclosed on March 23, 2026 that board member Amit Agarwal, through a family trust, converted 20,000 Class B common shares into Class A shares and sold a portion on the open market, raising approximately $3.1 million (around KRW 4 billion). On the same day, Chief Technology Officer Alexis Lecocq converted about 32,000 Class B shares held personally and in trust into Class A shares, then sold them in multiple transactions under a 10b5-1 trading plan to secure roughly $4.06 million (about KRW 5.5 billion). He continues to hold voting rights on millions of shares and direct ownership of hundreds of thousands of shares. On April 1, Agarwal again converted 20,000 Class B shares held by his family trust into Class A shares and sold them all, generating an additional $2.41 million (about KRW 3 billion), while still maintaining significant indirect stakes via trust and spousal holdings.

Most recently, Datadog reported fourth-quarter fiscal 2025 revenue of $950 million, a 29% increase year-over-year, and issued full-year 2026 revenue guidance near $4 billion. The company also announced that it will release first-quarter 2026 results on May 7 before U.S. markets open. In an SEC Form 8-K filing, Datadog revealed that, following approval at a special shareholders’ meeting on April 21, it completed its corporate conversion, moving its legal domicile from Delaware to Nevada—a step aimed at strengthening its governance framework.

Founded in 2010 in New York by Olivier Pomel and Alexis Lecocq, Datadog offers a SaaS platform that integrates monitoring of servers, databases and microservices. The company is now included in both the Nasdaq-100 and the S&P 500 indices. Lecocq serves as co-founder, chief technology officer and director. Agarwal, who spent 13 years as president and chief product officer, joined the board in 2025 and today is a partner at venture capital firm ICONIQ Capital while continuing as a Datadog director.
