AbbVie Targets Atopic Dermatitis and Asthma with $10 Billion Clinical Bio Acquisition
Apogee Therapeutics, Inc. (NASDAQ: APGE) has agreed to be acquired by AbbVie in an all-cash deal at $135.11 per share, implying an enterprise value of about $10.9 billion (approximately ₩15 trillion). Under the agreement, Apogee’s antibody pipeline targeting inflammatory and immunological diseases—such as atopic dermatitis and asthma—will transfer to AbbVie. On June 10, Apogee’s CEO Michael Henderson sold roughly 19,000 shares on the open market under a Rule 10b5-1 trading plan, raising approximately $1.62 million (around ₩2 billion) in cash, while retaining more than one million shares to maintain a significant ownership stake.
Through this acquisition, AbbVie plans to fold multiple clinical-stage antibody assets into its immunology and respiratory portfolio, including atopic dermatitis candidate APG777 (zumilokibat) and respiratory disease candidate APG273. The deal is expected to close in the third quarter of 2026. Earlier this year, Apogee accelerated its pipeline expansion by securing positive Phase 2 data for APG777 and raising several hundred million dollars, including up to $1.3 billion (about ₩1.7 trillion) in financing from Blackstone Life Sciences.
Apogee is a clinical-stage biotech developing antibody-based therapies for major inflammatory and immunological conditions such as atopic dermatitis, asthma, eosinophilic esophagitis, and chronic obstructive pulmonary disease. Its pipeline includes APG777 and combination therapies APG279 and APG273, all being evaluated in multinational clinical trials. Since Humira, global pharmaceutical leader AbbVie has pursued successive billion-dollar acquisitions to bolster its next-generation immunology portfolio, and competition for small biotechs with inflammatory and immunology assets is expected to intensify.
