Rare Endocrine Disease Drug Developer Completes $10 Billion Cash Acquisition Deal

Crinetics Pharmaceuticals, Inc. (Nasdaq: CRNX) has agreed to be acquired by Vertex Pharmaceuticals for $85 per share in cash, representing a total transaction value of approximately $10 billion (about ₩13 trillion). The deal was unanimously approved by the boards of both companies and is expected to close in the third quarter of 2026, subject to Crinetics shareholder and regulatory approvals. Vertex anticipates that adding PALSONIFY, an oral treatment for acromegaly in early commercialization, and atumelnant, an ACTH-receptor antagonist for congenital adrenal hyperplasia and Cushing’s syndrome, will generate peak annual sales of more than $5 billion (over ₩6.5 trillion) from these two assets and contribute to its non-GAAP operating income beginning in 2029.

In its first-quarter 2026 financial results announced in May, Crinetics reported early sales growth for PALSONIFY following its launch. In April, the European Commission approved PALSONIFY for adult acromegaly, marking another step in the drug’s global rollout. Applications for paltusotine approval have also been submitted in Japan and Brazil, accelerating regional expansion of this core product even prior to the acquisition.

Headquartered in San Diego, Crinetics is a Nasdaq-listed biotech specialized in developing oral small-molecule therapies targeting rare endocrine disorders—such as acromegaly—and endocrine-related tumors. The market for rare endocrine treatments has seen intense merger and acquisition activity in recent years, driven by the unmet needs and inconveniences associated with injectable therapies and the strategic value of differentiated oral formulations.
