On June 12, 2026, Neon Maple Parent Inc. entered into a Voting and Support Agreement with certain stockholders of Payoneer Global Inc. in connection with a contemporaneous Agreement and Plan of Merger among Payoneer Global Inc., Neon Maple Parent Inc. and Panda Acquisition Sub Inc., under which the stockholders commit, with respect to all their current and subsequently acquired shares, not to transfer those shares (subject to limited exceptions), to vote them in favor of approving the merger and related transactions and against competing or delaying proposals, to be present for quorum purposes, and to waive appraisal rights, all until the earlier of the merger’s completion, termination of the merger agreement, or specified adverse amendments to that agreement.
