CEO John Oyler exercised multiple tranches of low‑priced share options into Ordinary Shares and concurrently converted large blocks of Ordinary Shares into American Depositary Shares (ADSs), then sold essentially all of the newly held ADSs in numerous open‑market transactions around $310–$324 per ADS pursuant to a Rule 10b5‑1 trading plan. Specifically, he exercised options for 462,865 Ordinary Shares at $7.70, 996,801 Ordinary Shares at $13.05, and 55,575 + 1,254,513 Ordinary Shares at $12.34, plus 911,248 Ordinary Shares at $9.23, and converted Ordinary Shares into 35,605, 76,677, 4,275, 96,501, and 70,096 ADSs at conversion values ranging from about $100 to $170 per ADS, before selling 100,372 ADSs on July 15 and 140,777 ADSs on July 16 at weighted average sale prices generally between roughly $310 and $324, for total sale proceeds of roughly $75–$80 million. After these transactions, Oyler reported holding 151,189 ADSs directly and very substantial additional Ordinary Share positions (some through various trusts and entities for which he disclaims beneficial ownership), so despite the sizeable monetization, he continues to retain a large equity stake in the company.
