Skyworks Solutions launched registered exchange offers and related consent solicitations for Qorvo’s 2029 and 2031 senior notes as part of its planned acquisition of Qorvo, offering new Skyworks notes plus cash and early participation incentives, contingent on the mergers closing and other conditions.

On May 20, 2026, Skyworks Solutions, Inc. (Nasdaq: SWKS) announced that, in connection with its anticipated acquisition of Qorvo, Inc., it commenced exchange offers for any and all of Qorvo’s outstanding 4.375% Senior Notes due 2029 and 3.375% Senior Notes due 2031, offering up to $850 million and $700 million, respectively, of new Skyworks senior notes with identical coupon and maturity but revised redemption terms, along with consent solicitations to amend the Qorvo note indentures to remove most restrictive and certain affirmative covenants and events of default in exchange for a consent payment and early participation premium. The exchange offers and consent solicitations are being made under a Form S-4 registration statement filed the same day with the SEC, will expire at 5:00 p.m. New York City time on September 1, 2026 unless extended, and are conditioned on, among other things, a majority tender of each series by the early participation date, effectiveness of the registration statement, and the closing of the mergers under which Qorvo will merge into a Skyworks subsidiary, although the mergers’ closing is not conditioned on the outcome of the exchange offers. Eligible Qorvo noteholders who tender by the June 11, 2026 early participation date and do not validly withdraw will receive for each $1,000 principal amount $950 in principal of new Skyworks notes of the corresponding series, a $50 early participation premium in principal of new Skyworks notes, and a variable cash consent payment of $2.50–$5.00 per $1,000, while Skyworks will also pay a $2.50 per $1,000 soliciting dealer fee to designated retail brokers for qualifying small tenders, all subject to the detailed conditions and procedures described in the registration statement.
