Corp., Safety Insurance Group, Inc., and a specified Safety Insurance stockholder entered into a Voting and Support Agreement in connection with a planned merger of MAPFRE’s wholly owned subsidiary Splash Merger Sub, Inc. with and into Safety Insurance Group, under which the stockholder agrees, subject to certain exceptions, to vote all of its shares in favor of the merger and related proposals, against competing acquisition proposals, refrain from transferring its shares prior to the record date (other than in limited circumstances), waive appraisal rights, and grant MAPFRE an irrevocable proxy to vote such shares if the stockholder fails to do so, with the agreement terminating upon consummation or termination of the merger or other specified events.
