SST VI agreed to acquire SSGT III in a stock-for-stock REIT merger, exchanging SSGT III common and Series A preferred shares for SST VI Class A and new Series G preferred shares, respectively, in a tax-free reorganization.

On July 14, 2026, Strategic Storage Trust VI, Inc. (SST VI) entered into an Agreement and Plan of Merger with its wholly owned subsidiary SSGT III Merger Sub, LLC and Strategic Storage Growth Trust III, Inc. (SSGT III), under which SSGT III will merge into the Merger Sub, making the surviving entity a wholly owned subsidiary of SST VI; each share of SSGT III common stock (other than excluded shares held by SST VI or its subsidiaries) will be converted into the right to receive SST VI Class A common stock at a fixed 1.000 exchange ratio, and each outstanding share of SSGT III Series A Preferred Stock will be converted into one share of a newly created SST VI Series G Convertible Preferred Stock with substantially identical rights, with the transaction intended to qualify as a tax-free reorganization under Section 368(a) of the Internal Revenue Code and accompanied by termination of the SSGT III advisory agreement at the merger effective time.
