BioMarin Pharmaceutical Inc. announced that it has entered into a definitive agreement to acquire Alesta Therapeutics in order to obtain ALE1, an orally active small-molecule therapy candidate that could become the first oral treatment for hypophosphatasia (HPP), for an upfront payment of $275 million in cash plus up to $215 million in development and regulatory milestone payments. Prior to closing, Alesta will spin out all non-ALE1 assets into a new entity and transfer all Alesta employees to that spinout, so no employees will join BioMarin in connection with the deal. The transaction, approved by both companies’ boards and expected to close this quarter subject to customary conditions, will be funded with BioMarin’s cash on hand, incorporated into updated 2026 guidance after closing, and is anticipated to be modestly dilutive to BioMarin’s 2026 financial results excluding the upfront consideration, while strategically strengthening its early-stage pipeline and rare disease market presence through ALE1’s ongoing Phase 1/2a program for HPP.
