Brookfield and Oaktree entered into a transaction agreement on April 14, 2026 to acquire and restructure Oaktree’s partnership and operating interests using a mix of cash, BAM and BN equity, and BN Units, consolidating Oaktree’s operating entities under Brookfield-affiliated vehicles.

On April 14, 2026, Brookfield-affiliated entities (including Acquisition Z (2026) LP and Atlas Top Sub I Splitter LP) entered into a comprehensive Transaction Agreement with Oaktree Capital Holdings, LLC and affiliated Oaktree partnerships under which the Brookfield acquiror and ExchangeCo will acquire all OpCo Units and effectively consolidate Oaktree’s operating entities, restructure and redeem existing Oaktree limited partnership and incentive equity interests (including OCGH, OEP, and OEP II units, phantom units, and performance units), and issue a mix of cash, Brookfield Asset Management Ltd. (BAM) shares, Brookfield Corporation (BN) shares, and ExchangeCo BN Units to Oaktree limited partners, while cancelling certain OEP II interests for no consideration and liquidating specified Oaktree entities, thereby further integrating Oaktree within the Brookfield corporate structure pursuant to detailed pre-closing and closing steps and related exchange, equity, and tax receivable agreement amendments.
