Weatherford International plc and NCS Multistage Holdings, Inc. announced that 5:00 p.m. Eastern Time on August 31, 2026 is the anticipated deadline for NCS Multistage stockholders to elect the form of merger consideration in connection with their previously announced merger, under which NCS Multistage stockholders may choose either 0.554 Weatherford ordinary shares per NCS Multistage share or a combination of 0.239 Weatherford ordinary shares plus cash equal to 0.137 Weatherford shares, subject to proration and adjustments. Stockholders who elect the all‑share consideration or fail to make a timely election will be deemed to have elected the all‑share option, which is not subject to proration. The transaction has been approved by both companies’ boards of directors and NCS Multistage’s controlling stockholder and remains subject to customary closing conditions, with closing expected on or about September 1, 2026, after which the companies plan to combine while continuing to operate separately until completion of the merger.
