Office for Fine Architecture Limited agreed to purchase and co-own 50% of the QIKBIM intellectual property from Alan To AI Consultancy Co. Limited for $17.5 million while obtaining sole operational control and shared economics over the QIKBIM business.

The company entered into an Intellectual Property Assignment and Co-Ownership Agreement effective March 31, 2026, under which Office for Fine Architecture Limited acquires a 50% undivided co-ownership interest in the QIKBIM system intellectual property from Alan To AI Consultancy Co. Limited for a negotiated purchase price of $17.5 million, satisfied by $11,994,800 of historical development payments, a $2,998,700 final installment and $2,506,500 of supplemental consideration (including an $880,000 escrow), while securing sole governance and commercialization control over the QIKBIM business, a 50/50 economic sharing of net monetization proceeds (subject to Buyer-funded cost recovery), extensive transition support and warranties from the seller, and a call right to acquire the seller’s remaining 50% interest upon specified trigger events.
