On July 14, 2026, Sunset Operations at Broken Arrow, LLC entered into a long-term Consulting and Management Agreement with Legends Global Theater Management, LLC under which Legends will provide pre-opening advisory services and then act as the sole and exclusive day-to-day manager and operator of the approximately 12,500-capacity Sunset Amphitheater in Broken Arrow, Oklahoma. The fully capitalized Venue, currently under construction, will be supported by Legends through operational planning, budgeting, booking and programming, staffing, marketing, food and beverage oversight, and ongoing facility management, all pursuant to an approved pre-opening budget, operating budgets, and detailed financial terms that include a fixed monthly pre-opening advisory fee, an annual base management fee tied to a percentage of Adjusted Gross Income, incentive fees based on agreed key performance indicators, and commissions on food and beverage revenues. The agreement sets out a multi-year term beginning on the Effective Date with extension options in favor of Legends, defines the allocation of operating versus capital responsibilities (with the client bearing capital costs and operating losses), includes detailed provisions on confidentiality, indemnification, insurance, and compliance with a related Development Agreement and special assessment obligations to the City of Broken Arrow, and allows for early termination by Legends upon construction delays, financing shortfalls, or client breach, as well as an exclusive negotiation window for any successor management contract at the end of the term.
