Venu Holding Corporation entered into an exclusive, multi-year ticketing agreement with Ticketmaster to provide primary and certain secondary ticketing services for three planned Sunset Amphitheater venues, with detailed financial, operational, tax, data, and service-level terms.

The Form 8-K discloses that Venu Holding Corporation has entered into a long-term exclusive ticketing agreement with Ticketmaster L.L.C., effective July 21, 2026, under which Ticketmaster will serve as the exclusive primary ticketing agent for all sellable capacity at three new Sunset Amphitheater venues in Broken Arrow (OK), McKinney (TX), and El Paso (TX).
