On August 28, 2026, Indaptus Therapeutics, Inc. entered into an Amended and Restated At the Market Offering Agreement with H.C. Wainwright & Co., LLC, replacing their prior June 1, 2022 agreement and establishing an at-the-market equity program under the company’s Form S-3 shelf registration statement (File No. 333-289573) pursuant to which Indaptus may, from time to time, issue and sell up to $100,000,000 of its common stock through H.C. Wainwright as exclusive sales agent or, pursuant to separate terms agreements, as principal, with sales generally effected as Rule 415 at-the-market offerings on the applicable trading market at prevailing prices and subject to a 3.0% placement fee.
