On August 24, 2026, The Boeing Company entered into Amendment No. 1 and Extension to its existing $4.0 billion Five-Year Credit Agreement, extending the termination date of the commitments and advances of participating “Extending Lenders” by 365 days from May 15, 2029 to May 15, 2030, while leaving non-extending lenders’ commitments maturing on the original 2029 date. The amendment also introduces a new minimum liquidity covenant requiring Boeing to maintain at least $5 billion of liquidity (defined as cash, cash equivalents, and short-term/other investments on its consolidated balance sheet), revises certain covenant cross-references and voting provisions, and provides for the assignment of Lloyds Bank Corporate Markets PLC’s extended commitment and related advances to Lloyds Bank PLC as of the First Amendment Effective Date. In connection with the extension mechanics, the agreement sets out treatment and reallocation of letter of credit obligations, repayment or replacement of non-extending lenders at their termination date, waives certain timing and notice requirements under the existing credit agreement, and confirms that all other loan documents remain in full force and effect without novation.
