John Colgrove, Chief Visionary Officer of Everpure, Inc., gifted 200,000 Class A Common shares to his family charitable remainder trust and that trust sold a total of 200,000 shares over August 11–12, 2026 under a Rule 10b5‑1 plan for roughly $21 million in proceeds.

On August 11 and 12, 2026, John Colgrove, Chief Visionary Officer of Everpure, Inc., reported a series of estate‑ and philanthropy‑related transfers and automatic sales involving Class A Common Stock held indirectly through the Colgrove Family Charitable Remainder Trust and other family trusts. On each of August 11 and 12, 100,000 shares were transferred via gifts (Code G) from his direct holdings to the Colgrove Family Charitable Remainder Trust, for a total of 200,000 shares gifted, with no price involved as these were non‑sale transfers. The charitable remainder trust then executed multiple Rule 10b5‑1 plan sales on August 11 totaling 100,000 shares at weighted average prices ranging from about $100.32 to $109.21 per share, for aggregate proceeds of roughly $10.3 million, and on August 12 totaling another 100,000 shares at prices from about $108.92 to $113.65 per share, for roughly $10.9 million of proceeds; each sale tranche reduced the CRT’s balance to zero at the end of each day. After these transactions, Colgrove continued to beneficially own substantial indirect positions via the Colgrove Family Living Trust and two irrevocable family trusts (with reported holdings of 467,694 shares and two additional 2,515,000‑share positions), as well as reduced direct holdings of approximately 6,174,080 shares. The activity is largely characterized by charitable gifting into a CRT followed by pre‑planned, programmatic dispositions by the trust, rather than discretionary open‑market buying or selling by Colgrove personally.
