On October 24, 2026, Sonoma Pharmaceuticals, Inc. entered into a non‑exclusive Manufacturing and Supply Agreement with Kenvue Brands LLC under which Sonoma, as Manufacturer, will produce, package, and supply specified hypochlorous-acid based cosmetic facial spray and related finished products for Kenvue in the United States through March 2027 (with optional extensions), on an exclusive supply basis for those Products but without minimum purchase commitments, at detailed, largely fixed component pricing (conversion, raw materials, waste and transportation) set forth in schedules to Kenvue’s ERP system, subject to service-level, capacity, quality, and cost‑reduction obligations, “most favored customer” pricing protections for Kenvue, and comprehensive termination rights including for performance failures, insolvency, and change in control of Sonoma, while reserving all Product intellectual property to Kenvue and granting Sonoma only a limited sublicense to manufacture and package the Products at its Zapopan, Jalisco, Mexico facility under cGMP and other regulatory and business continuity requirements.
