Southland Holdings, LLC and its American Bridge affiliates agreed to pay Liberty Mutual $5 million by September 30, 2026 to settle Liberty’s existing surety losses related to American Bridge bonds while reaffirming broader indemnity obligations to Liberty and Zurich.

Southland Holdings, LLC and its American Bridge subsidiaries entered into a Settlement Agreement effective August 26, 2026 with Liberty Mutual Insurance Company and Zurich American Insurance Company (including Fidelity and Deposit Company of Maryland) to resolve surety-related losses arising from bonds issued on behalf of American Bridge, including a significant judgment in the Washington State Convention Center litigation. Under the agreement, the indemnitors reaffirm their existing indemnity obligations, agree that all funds due or to become due under bonded contracts (including litigation and insurance proceeds) are trust funds for the benefit of project obligees and the sureties, and define events of default that preserve the sureties’ rights and remedies under prior indemnity and surety agreements. In exchange for Liberty’s release of its remaining claim for at least $36,436,753 of existing losses, the indemnitors will make a one-time cash settlement payment of $5,000,000 to Liberty by September 30, 2026, while Zurich retains its separate rights to recover its own existing loss. The agreement includes bankruptcy-related protections for the sureties, a waiver of jury trial by the indemnitors, Texas governing law and Dallas County jurisdiction provisions, and confirms that no broader release is granted for future or additional losses under the bonds.
