On July 31, 2026, Everus Construction Group, Inc. announced that it entered into a definitive agreement to acquire Epsilon Industries, a North American designer and manufacturer of complex modular mechanical and electrical building infrastructure systems, for $295 million in cash, subject to customary adjustments. The acquisition, to be funded with a combination of cash on hand and borrowings under Everus’ credit facilities, is expected to close in the third quarter of 2026 pending regulatory approvals and other customary closing conditions. Epsilon brings more than 25 years of off-site modular construction experience, a multi-facility U.S. and Canadian footprint, over 50 engineers and 120 skilled tradespeople, and strong positions in data center, advanced manufacturing and healthcare end markets. Everus expects the deal to enhance its off-site modular construction offerings, expand its geographic reach into priority markets such as Florida, Texas, the Mid-Atlantic and the Northeast, and provide commercial synergies supported by Epsilon’s strong backlog and opportunity pipeline. For full-year 2026, Epsilon anticipates approximately $250 million of revenue with EBITDA margins in the low double digits, and Everus expects the acquisition to be cash accretive and plans to update its 2026 financial forecast after closing, while key Epsilon leaders, including President Chris Wiederick, are expected to remain with the company.
