Veris Residential, Inc. announced that an investor consortium led by Affinius Capital, in partnership with Vista Hill Partners, has completed the previously announced all-cash acquisition of all outstanding shares of Veris Residential for $19.00 per share, implying an enterprise value of approximately $3.5 billion. As a result of the closing, Veris Residential’s common stock has ceased trading on the New York Stock Exchange. The transaction involved multiple financial and legal advisors on both the sell-side and buy-side, with Goldman Sachs & Co. LLC and UBS providing bridge loan financing arrangements for the buyer group. Veris Residential will now operate as a privately held company under the ownership of the Affinius- and Vista Hill–led investor consortium.
