ExlService Holdings, Inc. (EXL) announced that it has entered into a definitive agreement to acquire iMerit, a provider of AI model training, evaluation and reinforcement learning services, in a transaction valued at up to $310 million, consisting of $170 million in upfront consideration and up to $140 million in incentive and earnout payments over two years contingent on milestone achievement. The deal is expected to close in the third quarter of 2026, subject to customary closing conditions including antitrust clearance, and is intended to deepen EXL’s vertically specialized, end-to-end AI capabilities, expand its relationships with leading foundation model builders, and broaden its total addressable market into high-growth AI sectors such as high-tech, mobility, autonomous systems and physical AI. iMerit’s Ango platform and Scholars expert network will be integrated with EXL’s existing AI platforms (including EXLerate.ai, EXLdata.ai, and EXLdecision.ai) to create an enterprise-focused AI stack aimed at accelerating customers’ transition from pilot to production-scale AI, particularly in regulated industries like healthcare, insurance, and financial services. EXL will host a conference call on June 24, 2026 to discuss the transaction and provide additional information to investors.
