Interactive Strength Inc. has entered into an out-of-court settlement in a German legal dispute with plaintiff Ali Ahmad and joined party Sportstech Brands Holding GmbH, under which Sportstech Brands Holding GmbH will make a one-time payment to Interactive Strength of USD 6,350,000 plus EUR 19,923.25. In exchange, all parties agree to terminate multiple related court, enforcement, and liquidation proceedings in Germany (including actions and preliminary injunctions before the Berlin Regional Court II and proceedings before the Frankfurt am Main Regional Court and Higher Regional Court), with each party bearing its own attorneys’ fees and specified court costs. Upon receipt of the full settlement amount and court confirmation under Section 278(6) of the German Code of Civil Procedure, Interactive Strength will release and return all related security interests, including a directly enforceable guarantee on first demand dated January 27, 2025, and a share pledge agreement over shares in the intervening party, and all mutual claims arising from or connected to the dispute and the previously announced acquisition of shares in the “Acquired Company” will be fully settled and discharged in all jurisdictions.
