On June 5, 2026, Silver Lake–affiliated vehicle SL SPV-2, L.P. (together with related general partner and management entities and director Egon Durban, as reporting persons) converted 92,730 shares of Dell Technologies Inc. Class B Common Stock into an equal number of Class C Common Stock and then sold an aggregate 92,730 Class C shares in a series of open-market transactions at weighted-average prices ranging from approximately $395.39 to $412.35 per share, generating proceeds of roughly $37.6 million. These trades were effected indirectly through SL SPV-2, L.P., with the reporting structure reflecting Silver Lake’s multi-entity ownership chain; additional in-kind distributions of Class C shares from Silver Lake funds to affiliates and individuals (including Durban) and related receipt of shares were exempt under Rule 16a-13 and therefore not themselves reportable transactions. A final journal entry removed the remaining 8,149 Class C shares from SL SPV-2, L.P. (bringing that entity’s direct Class C holdings to zero), while sizeable indirect holdings of Dell equity remain across Silver Lake entities, including over 28 million Class C shares and substantial Class B positions reported on separate Forms 4.
