QuantumScape and PowerCo amended their collaboration agreement effective July 16, 2026 to terminate and replace the initial statement of work with a new SOW-2 and update the project plan, milestones, and related terms for development of QSE-5 solid-state battery technology.

On July 16, 2026, QuantumScape Battery, Inc. and PowerCo SE entered into an amendment to their July 17, 2025 Amended and Restated Collaboration Agreement to revise the project plan, technical specifications, and key milestones for the joint development, demonstration, and commercialization of QuantumScape’s QSE-5 solid-state battery technology, terminate the original Statement of Work No. 1 and replace it in full with a new Statement of Work No. 2 (including an updated Annex A project plan and related annexes on specifications, KPIs, and standards), clarify collaboration efforts and milestone obligations under a restated Section 2.1, modify various provisions relating to term and termination and other commercial terms (with certain details redacted as confidential), and add a new U.S. notice address for PowerCo, while confirming that all other terms of the collaboration agreement remain in force and that PowerCo’s obligation to pay all agreed invoices under SOW-1 continues despite its termination.
