On September 1, 2026, Comstock Resources, Inc. announced that it entered into a letter of intent with the State Oil Company of the Azerbaijan Republic (SOCAR) for a $1.65 billion cash strategic partnership under which SOCAR (or its subsidiary) would acquire specified non-operated working interests in Comstock’s Legacy and Western Haynesville upstream assets and a 15% share of Comstock’s 73% ownership interest in Pinnacle Gas Services LLC, with an effective date of July 1, 2026 and targeted definitive agreement execution by October 31, 2026 and closing by year-end, and Comstock also disclosed a separate $450 million Haynesville shale drilling joint venture with a partnership owned by Jerry Jones, its majority stockholder, under which the Jones family will fund most of the drilling and completion costs for 27 Haynesville wells over the next twelve months in exchange for returns and reversionary interests, with both transactions expected to materially reduce leverage, strengthen liquidity, support accelerated Western Haynesville development, and preserve Comstock’s operational control of its upstream and midstream assets.
