On August 26, 2026, Somnigroup International Inc. announced that it has closed its previously announced all-stock combination with Leggett & Platt, Incorporated, creating a global bedding and components platform with over 170 manufacturing facilities in 37 countries and more than 36,000 employees. The transaction, valued at approximately $2.3 billion including assumed indebtedness and based on Somnigroup’s August 25, 2026 share price, was structured so that Leggett & Platt shareholders received 0.1455 Somnigroup shares for each Leggett & Platt share and now own about 9% of the combined company on a fully diluted basis. Somnigroup reported that the acquisition reduces its net leverage to roughly 2.8x adjusted EBITDA at closing and raised its annual run-rate synergy target to $75 million from $50 million, while indicating it expects to move toward the midpoint of its 2.0x–3.0x target leverage range by year-end. Leggett & Platt will be reported as a new segment, with its intercompany sales to other Somnigroup segments eliminated but without impact to its segment profit, and Somnigroup expects roughly $50 million of annual non-cash expense from fair value adjustments to the acquired business (primarily in cost of goods sold) and about $10 million of annual non-cash expense related to fair value adjustments of acquired Leggett & Platt bonds (in interest expense), which are anticipated to be adjusted under its credit facility. The company also announced a business update conference call scheduled for September 2, 2026 to discuss the transaction and future plans.
