Cytta Corp.’s former auditor Sadler, Gibb & Associates notified the SEC that potential GAAP errors in accounting for convertible notes and warrants could affect the reliability of prior financial statements and constitute a reportable event under Item 304, which was not fully resolved before the auditor’s dismissal.

In a letter dated June 4, 2026, filed as Exhibit 16.1 to Cytta Corp.’s Form 8-K, former auditor Sadler, Gibb & Associates, LLC agreed with the company’s Item 4.01 disclosure regarding its dismissal except for clarifying that there was, in its view, at least one “reportable event” under Item 304(a)(1)(v)(C) of Regulation S-K. The firm explained that during its incomplete audit of Cytta’s fiscal year ended September 30, 2025, it advised the Board that certain convertible notes payable should be accounted for as derivative liabilities and that certain warrants had not been properly accounted for under U.S. GAAP, potentially rendering previously issued financial statements unreliable if the errors proved material; however, Sadler, Gibb was dismissed before it could complete procedures to determine materiality. The auditor also stated it has no basis to agree or disagree with Cytta’s disclosures about the engagement or consultations with new auditor RBSM LLP and confirmed that it had reviewed interim financial statements for the quarters ended December 31, 2024, March 31, 2025, and June 30, 2025, and had been engaged—but not able to complete—the 2025 year-end audit.
