Harrow, Inc. agreed to acquire global rights to the dry eye nasal spray TYRVAYA from Viatris for up to $100 million to expand its dry eye disease franchise, with closing expected in the second half of 2026.

On August 6, 2026, Harrow, Inc. announced it had entered into a definitive agreement with Viatris Inc. to acquire global rights to TYRVAYA (varenicline solution) nasal spray 0.03 mg, the first and only FDA-approved nasal spray for dry eye disease, for $30 million in cash at closing plus up to $70 million in contingent net sales-based milestone payments, for potential total consideration of up to $100 million. TYRVAYA, currently approved in the U.S., China, and Taiwan with additional marketing applications pending, will expand and complement Harrow’s existing dry eye franchise anchored by VEVYE and supported by FreshKote Preservative Free and FLAREX. The acquisition is designed to leverage Harrow’s existing commercial infrastructure, add select Viatris talent, provide a differentiated drop-free therapy option to patients (including contact lens wearers), and is expected to be financially accretive shortly after closing, which is anticipated in the second half of 2026 subject to customary closing conditions.
