Madison Solutions LLC entered into an Equity Commitment Letter with Madison Air Solutions Corporation, under which Madison Solutions irrevocably commits, subject to the conditions of the related sale and purchase agreement for the ebm-papst group, to provide up to EUR 1.3 billion in equity or equity-like financing to Madison Air Solutions Corporation as a backstop to fund the guarantor’s monetary obligations due on or prior to the SPA closing date, with the commitment capped at the EUR 1.3 billion amount, structured on arm’s-length terms, and expressly subordinated to and coordinated with alternative third-party financing, while limiting recourse to Madison Solutions and its affiliates and setting out German-law governed dispute resolution and termination provisions.
