John Wiley & Sons, Inc. (Wiley) reported fiscal 2027 first quarter results for the period ended July 31, 2026, with revenue down 3% year over year to $386 million and GAAP diluted EPS turning to a loss of $(0.23) from $0.22, primarily due to restructuring charges and acquisition/integration costs related to the June 1, 2026 acquisition of Emerald Publishing. On an adjusted, constant-currency basis, revenue was also down 3%, while adjusted operating income declined 9% to $31 million, adjusted EBITDA declined 4% to $68 million, and adjusted EPS fell 10% to $0.44, reflecting lower Learning segment revenue and higher interest expense from increased leverage. The Research segment grew revenue 4% (including Emerald’s contribution and strong Research Publishing and AI licensing), expanded adjusted EBITDA margin by 130 bps, and benefitted from $14 million of AI licensing revenue, while Learning revenue declined 19% with a sharp drop in adjusted EBITDA due to prior-year AI licensing comparisons and softer consumer and corporate demand. The Emerald acquisition, costing approximately $450 million in cash, increased Wiley’s journal portfolio to ~2,500 titles, lifted net debt to $1.185 billion and the net debt-to-EBITDA ratio to 2.7x, and is expected to add $78 million of fiscal 2027 revenue, be modestly accretive to adjusted EPS and near-term dilutive to free cash flow. Wiley reported improved corporate expense efficiency, continued its 33-year streak of dividend increases alongside $33 million of dividends and share repurchases in the quarter, and reaffirmed its fiscal 2027 outlook for organic revenue growth, higher adjusted EBITDA margin, adjusted EPS of $4.60–$5.05, and free cash flow of $205 million, supported by growth in Research and AI/data analytics initiatives and ongoing cost savings programs.
