Cardlytics, Inc. entered into a settlement with Amit Jain to pay over $6.4 million, assume control of related insurance coverage actions, and obtain mutual releases in exchange for dismissal with prejudice of Mr. Jain’s Delaware indemnification lawsuit and resolution of disputes tied to the DailyGobble litigation.

On September 4, 2026, Cardlytics, Inc. entered into a Confidential Settlement Agreement with former Bridg director Amit Jain to resolve his Delaware Court of Chancery lawsuit seeking advancement and indemnification of expenses related to the DailyGobble, Inc. litigation and related Scottsdale Insurance coverage actions. Under the agreement, Cardlytics will wire an aggregate $6,441,649.40 to Mr. Jain, covering his $5,250,000 share of the DailyGobble settlement (plus specified borrowing costs) and $1,139,985.80 of Michelman & Robinson’s fees, and will continue to advance Mr. Jain’s reasonable attorneys’ fees and costs in the Scottsdale and Delaware actions and in connection with settlement of the DailyGobble matter pursuant to the existing indemnification agreement and the Fitracks order. Mr. Jain assigns to Cardlytics nearly all of his rights and interests in the Scottsdale insurance coverage actions, while retaining only implied covenant claims that he agrees to dismiss after the assignment is effective, and Cardlytics assumes control of those insurance actions at its expense. Within two business days after receiving the settlement payment, the parties will file a stipulated dismissal with prejudice of the Delaware advancement/indemnification action, and each side grants broad mutual releases of claims relating to the DailyGobble, Scottsdale, and Delaware matters, subject to carve-outs preserving Mr. Jain’s future rights to advancement and indemnification and both parties’ rights to enforce the settlement terms. The agreement includes confidentiality provisions, Delaware governing law and forum selection, and standard integration, cooperation, and severability clauses.
